$LAES – SEALSQ’s $10M WISeSat Investment Includes Price Protection SEALSQ ($LAES) has completed a $10 million PIPE investment in WISeSat.Space ($SAIQ) at $10.79 per share, giving the company additional exposure to the emerging space cybersecurity and post-quantum communications market. The investment closed on October 1, 2026, alongside WISeSat.Space’s business combination. SEALSQ received 926,784 ordinary shares at $10.79 per share. WISeSat began trading on Nasdaq under the ticker $SAIQ on October 2. The funds are expected to support next-generation satellite infrastructure and the integration of SEALSQ’s post-quantum cryptography (PQC) technologies across satellite, ground and user infrastructure. The broader strategy is to combine secure semiconductors, digital identity and satellite connectivity into a more secure space-based communications network. One of the most important details is the price-protection mechanism. If WISeSat’s volume-weighted average share price for the relevant 10 consecutive trading days around the 60th day after closing is below the $10.79 purchase price, the agreement can trigger additional shares being issued to SEALSQ, subject to a maximum of 1,073,216 additional shares. This is a potential adjustment, not an automatic issuance. There is also a related-party element investors should pay attention to. WISeSat, SEALSQ and their parent company WISeQey are affiliated companies, and Carlos Moreira serves as CEO of all three companies. SEALSQ has therefore classified the PIPE and related collaboration as related-party transactions. The bigger strategic opportunity is the planned combination of WISeSat’s satellite network with SEALSQ’s post-quantum semiconductors, PKI and identity technologies.
