#PSKY: Paramount Skydance Launches $7.5B Debt Syndication for WBD Acquisition
Paramount Skydance Corporation ($PSKY) is adding another major piece to the financing package for its planned acquisition of Warner Bros. Discovery ($WBD).
On September 24, Paramount announced the launch of syndication for a proposed $7.5 billion senior secured Incremental Term B facility. The company said the financing is subject to market and other conditions.
The new loan is part of the broader funding plan for the WBD transaction. Paramount has said it intends to raise approximately $44.4 billion of additional secured debt, in addition to the new $7.5 billion Term B facility and previously announced financing. The proceeds, along with cash on hand and previously announced equity financing, are expected to help fund the purchase of WBD.
Why this matters
The important point is that this is merger financing, not a share buyback. PSKY is continuing to build the debt side of the capital structure needed to complete the WBD transaction.
Paramount's original merger agreement values WBD at approximately $81 billion in equity value and $110 billion in enterprise value. The company has also said the combined business is expected to have around $79 billion of net debt at closing, with a projected net-debt-to-EBITDA ratio of about 4.3x on a fully synergized basis.
The financing move comes at an important stage for the transaction. Paramount has already received regulatory clearances in nearly 70 jurisdictions, while recent settlements with U.S. states removed a major remaining obstacle to the deal.
What investors should watch
The main thing to watch now is the final cost and structure of PSKY's debt financing and how much leverage the combined company carries after the WBD transaction closes.
More debt gives Paramount the funding needed to complete the acquisition, but it also means higher interest obligations and greater focus on the company's ability to generate cash and deliver the expected synergies.
Paramount has previously projected more than $6 billion in synergies from the combination, while targeting a path toward roughly 3x leverage within three years after closing.
Bottom Line
The $7.5 billion Incremental Term B is another financing step toward the WBD deal. The transaction is moving closer to completion, but investors will be watching the final debt load, borrowing costs and whether the expected synergies can support the combined company's balance sheet.
